Yoga Mastery Programme — Client Agreement
Version: May 2026 (V2)
1. Parties and Programme
This Agreement is between Sushi Yogi, operated by Sushmitha Shrikanth, sole trader, based in the Republic of South Africa (the "Provider"), and the person signing below (the "Client"), for participation in the Yoga Mastery Programme (the "Programme"). By signing, you confirm that you have read, understood, and agreed to all terms below.
This Agreement governs the Programme only. Use of sushiyogi.com generally, participation in free content, and any private 1:1 sessions purchased separately are governed by the general Terms and Conditions and the Liability Waiver published at sushiyogi.com/terms-conditions and sushiyogi.com/liability-waiver.
2. Programme Structure
The Programme consists of two phases:
- (a) The Intensive. A structured 4-month training period, beginning on the date of enrolment.
- (b) The Membership. Monthly access to live classes, recordings, community, and async support, available from month 5 onwards on a rolling basis.
3. Payment Terms
- (a) Enrolment fee. £250 one-time, due at sign-up. This covers the full 4-month Intensive.
- (b) Membership fee. £50 per calendar month, beginning automatically approximately 120 days after the enrolment date.
- (c) Renewal. The Membership renews monthly on the same date. You may cancel at any time before the next billing date using the Stripe customer portal link in your billing email.
- (d) Non-refundable enrolment. The £250 enrolment fee is non-refundable except as provided under Clause 6 (Guarantee).
- (e) Service commencement. You expressly request and consent that the Programme begins immediately upon payment, including the supply of digital content and access to live classes.
- (f) Purchasing power parity discounts. Where offered, PPP discounts apply to the enrolment fee only and are at the Provider's sole discretion. The £50/month Membership rate is not affected by PPP discounts.
- (g) Currency and processing. All amounts are charged in GBP via Stripe. Your bank may apply a foreign exchange or conversion fee.
- (h) Pricing changes. Any change to the £50/month Membership rate will be communicated to you by email no fewer than 30 days before the next billing date. You may cancel before the change takes effect if you do not wish to continue at the new rate.
- (i) Chargebacks and payment reversal. If a payment is reversed, charged back, or fails to clear, the Provider reserves the right to suspend or withdraw access to the Programme. Refunds outside the Guarantee in Clause 6 will not be issued in such circumstances.
4. What Is Included
During the Intensive (months 1–4):
- Full access to the YMP course library: theory videos, practice videos, manuals, downloadable drills, Stuck Point resources
- Four weekly live classes: Pranayama / Breathwork (Monday), Mastery of Mysore Method (Wednesday), Essence of Ashtanga Vinyasa Led (Friday), Connect & Cure community session (Sunday)
- Baseline assessment and final assessment
- Stuck Point drills with submission and feedback
- YACEP-accredited Yoga Alliance continuing education hours
- Access to the Connect & Cure private community
- Async practice audits with personalised written feedback
During the Membership (month 5 onwards, £50/month):
- Continued access to all four weekly live classes and recordings
- Full course library and class recordings
- Connect & Cure private community
- Async practice audits
5. Client Responsibilities
- (a) Good faith. You will engage with the Programme in good faith and with reasonable consistency.
- (b) No sharing of materials. You will not share, resell, distribute, reproduce, screen-record, or broadcast any Programme materials, including course videos, live classes, recordings, manuals, or community posts, in whole or in part, to any person who is not an enrolled Client of the Programme.
- (c) Confidential login credentials. You will not share your portal login credentials with any other person.
- (d) Baseline assessment. You will complete the baseline assessment within 7 days of enrolment.
- (e) Respect. You will treat fellow students and the Provider with respect in all community spaces.
6. The "Uninterrupted Calm" Guarantee
The Provider is so confident in this scaffolded approach — breath, drishti, and progressive sequencing — that the Provider is willing to take on the risk of method effectiveness.
(a) The tangible promise. If you complete the Intensive in good faith and meet every condition listed in 6(b) below, you will be able to perform the Half Primary Series (or your safe, modified version) from memory, continuously for 60 minutes or longer, without external guidance, and demonstrate a measurable shift in your mental baseline between the baseline and final assessment. If, after meeting every condition, you still cannot do this, the Provider will refund your £250 enrolment in full and grant you one complimentary 60-minute Practice Audit video call.
(b) Required actions. To qualify for the refund, you must complete every action below within the 4-month Intensive. Each action is paired with the required volume and how it is measured, so there is no ambiguity.
- Baseline assessment. Submitted within 7 days of enrolment; cannot be backdated. How measured: form submission timestamp in the portal.
- Final assessment. Submitted no earlier than 90 days after enrolment, and within 14 days of the end of the Intensive. How measured: form submission timestamp in the portal.
- Practice consistency. Minimum 4 practice sessions per week for all 16 weeks of the Intensive — approximately 64 sessions in total, each at least 30 minutes long. How measured: practice tracker in the portal with edit history enabled. Sessions shorter than 30 minutes do not count.
- Module completion. 100% of theory videos completed; 90% of practice videos completed. How measured: watch-time analytics in the portal.
- Stuck Point drills. Submitted for at least 2 stuck poses identified in the baseline assessment. How measured: PDF or photo uploaded via the Stuck Point form. Pre-existing medical injuries identified at baseline exempt the relevant drill, but the modified version must be completed.
- Live class attendance. At least 2 of the 4 weekly classes attended for at least 12 of the 16 weeks. How measured: attendance log in the portal. If your time zone prevents live attendance, watching the replay and leaving a written comment summarising one takeaway counts.
- Connect & Cure engagement. At least 8 Connect & Cure sessions attended (live or replay with comment), and at least 1 community post per calendar month of the Intensive. How measured: community engagement log and session attendance log.
- Async practice video (time-zone alternative). If your time zone prevents live attendance, you may instead submit at least 3 full-length practice video recordings during the Intensive for async feedback. How measured: video uploads to the designated feedback channel. Videos must be clear enough to see the full body; blurry or dark recordings do not count.
(c) Exclusions. The Guarantee covers method effectiveness only. It does not cover personal financial changes (e.g. job loss), life circumstances, schedule conflicts, change of mind, practices shorter than 30 minutes, a final assessment submitted before the 90-day mark, or any breach of Clause 5(b) or 5(c).
(d) Refund process. Email info@sushiyogi.com within 14 days of the end of the Intensive period. The Provider will review your portal activity against the conditions in 6(b). You agree to attend a 15-minute exit interview by video call before any refund is processed. A good-faith check applies — completing 100% of the videos in the first two days and then submitting a refund claim five months later is not a good-faith claim. If approved, the £250 is refunded to your original payment method within 14 days, and one complimentary 60-minute Practice Audit is offered at a mutually agreed time.
7. Intellectual Property and Recordings
All materials provided as part of the Programme — including videos, written guides, sequences, manuals, frameworks, audio content, live class recordings, Stuck Point drills, and community content — are the intellectual property of Sushi Yogi. You are granted a personal, non-transferable, non-exclusive licence to use these materials solely for your own yoga practice while enrolled in the Programme or holding active Membership.
- You may not copy, share, publish, redistribute, screen-record, screenshot for distribution, broadcast, or commercially exploit any Programme materials.
- Live class recordings are provided for your viewing only. You may not download, screen-record, or share them in any form.
- Sharing or distributing any Programme material to a person who is not an enrolled Client constitutes a material breach under Clause 8(d).
8. Cancellation and Pause
- (a) Cancellation. You may cancel your monthly Membership at any time via your Stripe customer portal. Cancellation takes effect at the end of the current billing period; you retain access for the remainder of that period.
- (b) Non-refundable enrolment. The £250 enrolment fee is non-refundable except under Clause 6.
- (c) Pause functionality. No pausing is available during the 4-month Intensive — it must run continuously, and pausing would corrupt the Guarantee conditions. During the Membership phase (month 5 onwards), you may pause your Membership for up to 3 consecutive weeks at a time. Pause requests must be submitted at least 7 days before your next billing date via info@sushiyogi.com. During a pause, billing is suspended and access to live classes and the practice tracker is paused; you retain access to recordings already released. To pause again, you must first resume Membership and complete at least one billing cycle.
- (d) Termination by Provider. The Provider reserves the right to terminate access to the Programme without refund (other than under Clause 6) in the event of serious breach, including sharing or reselling Programme materials, sharing portal login credentials, harassment or abuse in community spaces, chargeback fraud, or conduct that materially disrupts the safety or wellbeing of other students.
9. Health, Safety, and Assumption of Risk
By signing this Agreement, you make the following affirmative declarations and acknowledgements. You should not sign this Agreement unless each of these is true.
- (a) Voluntary participation. I confirm that my participation in the Programme is entirely voluntary. I understand that yoga involves physical movement and that, as with any physical activity, there is an inherent risk of injury.
- (b) Affirmative health declaration. I confirm that I am in suitable physical and mental health to participate in yoga practice. Where I have any pre-existing medical condition, injury, or physical or mental health limitation, I have consulted with a qualified medical professional prior to enrolment and have disclosed the relevant information to the Provider at the baseline assessment.
- (c) Yoga is not medical or psychological treatment. I understand that the Programme is not a substitute for medical treatment, physiotherapy, psychotherapy, or psychiatric care. If I have a diagnosed mental or physical health condition, I will not rely on the Programme as a substitute for care from a qualified healthcare provider.
- (d) Assumption of risk. I understand and accept that yoga practice may involve physical exertion and that there is an inherent risk of injury, including but not limited to muscle strain, joint injury, falls, or aggravation of pre-existing conditions. I voluntarily assume full responsibility for any and all risks associated with my participation.
- (e) Release of liability, including for negligence. To the fullest extent permitted by applicable law, I release and hold harmless Sushi Yogi, Sushmitha Shrikanth, and any associated instructors, assistants, or staff from any and all claims, damages, losses, or expenses (including legal fees) arising from my participation in any Programme activity, whether caused by negligence or otherwise. This release does not exclude or limit any liability that cannot be excluded or limited by South African law.
- (f) Online practice space safety. For online and live-streamed sessions, I acknowledge that I am practising in my own space and that it is my sole responsibility to ensure that space is safe, clear of hazards, level, and appropriate for yoga practice. The Provider has no visibility of my practice space and accepts no liability for any injury, loss, or damage occurring there.
- (g) Personal responsibility and modifications. I understand that it is my responsibility to listen to my body and to modify or skip any posture that does not feel appropriate on any given day. I will communicate any discomfort, pain, or injury to the Provider as soon as reasonably possible.
- (h) Provider's inability to deliver live classes. The Programme is delivered solely by Sushmitha Shrikanth. In the event that the Provider is unable to deliver a scheduled live class due to illness, personal circumstances, internet outage, travel, force majeure, or any other reason beyond reasonable control, the Provider will at her discretion either reschedule the class, provide a recording in its place, or credit the missed session. The Provider is not liable for the non-delivery of a live class in such circumstances, and no refund of enrolment or Membership fees is payable in respect of such non-delivery.
10. Limitation of Liability
To the maximum extent permitted by South African law, the Provider's total liability to you under or in connection with this Agreement (whether in contract, delict, statute, or otherwise) shall not exceed the total amount you have paid under this Agreement in the 12 months preceding the event giving rise to the claim. Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law, including the Consumer Protection Act 68 of 2008 where it applies.
11. Data Protection
Personal data provided in connection with the Programme is processed in accordance with the Privacy Policy at sushiyogi.com/privacy-policy. Sub-processors involved in delivering the Programme include, at the date of this Agreement: Stripe (payment processing), Clerk (account authentication), Supabase (data storage), Bird (messaging delivery), and Zoom (live class delivery). Data shared with sub-processors is limited to what is necessary to deliver the Programme.
12. Contact
All refund requests, disputes, complaints, and account questions should be sent to info@sushiyogi.com. The Provider will acknowledge such communications within 5 business days.
13. Governing Law
This Agreement is governed by the laws of the Republic of South Africa. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the South African courts, without prejudice to any mandatory statutory consumer rights you may have in your country of residence.
14. Entire Agreement and Severability
This Agreement, together with the Privacy Policy referenced in Clause 11, constitutes the entire agreement between the parties in respect of the Programme and supersedes any prior discussions, representations, or agreements relating to the Programme. If any provision is held by a court of competent jurisdiction to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
